Fiji’s Lautoka High Court Allows Amira Furnishings to Challenge Winding-Up Petition

The High Court in Lautoka has ruled in favor of Nadi-based Amira Furnishings Pte Ltd, allowing the company to contest winding-up proceedings initiated by Chinese entity Fashion Import & Export Development (Guangzhou) Co Ltd. Justice Mohamed Azhar found that the winding-up application was being misused as leverage by Fashion Import & Export to pressure Amira Furnishings into making payments.

Fashion Import & Export Development argued that Amira Furnishings was insolvent for not fulfilling a statutory demand. In response, Amira Furnishings, under the direction of Mourtada Moussa Makki, sought to oppose these proceedings. The court reviewed affidavits from both sides, uncovering a complex relationship between Mr. Makki and Aiping Wen, known as Ms. Holy, who had previously attempted to establish a joint retail venture focused on curtains that ultimately failed to launch.

In the proceedings, Mr. Makki described Ms. Holy as a family friend, mentioning her involvement in cooking for him and her access to his computer for business tasks. Justice Azhar concluded that the central matter at hand was not whether the company was insolvent, but rather that Ms. Holy was attempting to use legal channels to enforce payment. The judge established that Amira Furnishings had provided adequate evidence of its solvency.

The court’s decision enables Amira Furnishings to challenge the winding-up petition. Notably, Justice Azhar mandated that each party would bear its own legal costs related to this case.

This ruling highlights the importance of transparency and fairness in business legal disputes within Fiji, reinforcing the judiciary’s critical role in assessing the legitimacy of claims in commercial contexts. The outcome is poised to create a more equitable atmosphere for resolving similar disputes, encouraging accountability and promoting responsible corporate governance.
