Fijian Holdings Seeks Controlling Stake in Port Denarau Marina Ahead of December 5 EGM

Port Denarau Marina Limited is about to undergo a significant shift in ownership as Fijian Holdings Limited (FHL) prepares to acquire a controlling interest in the marina. A crucial Extra-Ordinary General Meeting (EGM) has been scheduled for December 5, 2025, at 12:30 PM to secure shareholder approval for this transaction. If approved, FHL’s stake in Port Denarau Marina will rise from 27.5% to 51%, allowing the company to take on majority control.

The main agenda item during the EGM will be a special resolution concerning the purchase of shares from the current majority stakeholder, Skeggs Group Limited. The deal will be executed in two parts. First, FHL will increase its shareholding from 27.5% to 51%, implementing its majority interest. The second part involves FHL Trustees Limited, associated with FHL, raising its stake from a mere 0.11% to 19.63%. If both resolutions are passed, the FHL Group will hold a commanding 70.63% interest in Port Denarau Marina.

This acquisition, structured under section 252(2)(n) of Fiji’s Companies Act of 2015, marks a pivotal step for FHL, as indicated by earlier transactions involving Skeggs Group Limited. Notably, FHL’s previous acquisition of a substantial minority share also reflects its strategic focus on expanding influence within the marina and tourism sectors.

In recent developments, FHL has demonstrated strong financial health, recently declaring an interim dividend of $4.113 million, showcasing its resilience across the tourism, retail, and finance sectors. The anticipated change in ownership at Port Denarau Marina not only highlights FHL’s aggressive growth strategy but also promises enhanced stability and new growth opportunities for both FHL and the marina itself.
